CATERING FUNNELS TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.

Once accepted, these Terms and Conditions, in combination with our Privacy Policy (collectively the "Terms"), become a binding legal commitment between you (or the business entity that you represent) and Catering Funnels, operated by LIV Global Holdings, LLC, and its respective officers, directors, successors and assigns (hereinafter referred to as "Catering Funnels," "we," "us," or "our") and will govern your access to and use of the Platform, Services, and all other interactions with Catering Funnels.

IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT ACCEPT THEM, CREATE AN ACCOUNT, OR USE THE PLATFORM OR SERVICES.

In the event of a conflict between these Terms and Conditions and any additional agreements incorporated herein by reference, these Terms and Conditions shall prevail.

Catering Funnels reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform or Services following the posting of any revised Terms constitutes your acceptance and agreement to the updated Terms

1. SERVICE OVERVIEW

1.1 Description of Services

Catering Funnels provides marketing automation and lead generation systems exclusively designed for restaurants with catering operations. Our services include, but are not limited to:

  • White-labeled GoHighLevel CRM platform access

  • Landing pages and conversion funnels

  • Lead capture forms and quote request systems

  • Email and SMS automation campaigns

  • Calendar booking and appointment scheduling

  • Website chat widgets

  • Missed call text-back automation

  • Review request automation

  • Social media integration (Google My Business, Facebook, Instagram)

  • Pipeline management and reporting

  • AI-powered chatbots (select tiers)

  • LinkedIn outreach automation (select tiers)

  • Cold email campaign management (select tiers)

  • Paid advertising management (select tiers)

  • Done-for-you implementation and setup

  • Onboarding calls and training

  • Technical support

1.2 Service Tiers

Catering Funnels offers multiple service tiers with varying features and pricing:

  • 14-Day Catering Pipeline Challenge

  • Core Catering Funnel System

  • Automation-Only Plan

  • AI Books in 30 Days

  • Full-Service Dominate the Market

Specific features, pricing, and terms for each tier are outlined in your subscription agreement and on our website.

1.3 Snapshot-Only Requirement

CRITICAL PROVISION: All Catering Funnels services require the use of our complete, integrated system (the "Snapshot"). Clients may not:

  • Use outside or third-party tools in place of Platform features

  • Modify, tamper with, or disable any component of the Snapshot

  • Integrate unauthorized third-party applicationsBullet List 4

  • Export system configurations to external platforms

Violation of the Snapshot-Only requirement voids all service guarantees and may result in immediate account termination.

1.4 Platform Definition

"Platform" refers to the white-labeled GoHighLevel system, all related software, features, integrations, and services provided by Catering Funnels.

2. REGISTRATION AND SUBSCRIPTION

2.1 Account Creation

Users may register for Catering Funnels services via our website. By creating an account, you:

  • Represent that you are authorized to bind the business entity you represent

  • Agree to provide accurate, current, and complete information

  • Agree to maintain and update your information as necessary

  • Accept these Terms and Conditions in full

2.2 Eligibility Requirements

To use Catering Funnels services, you must:

  • Operate a restaurant with an active catering operation

  • Have a minimum of 300 past customers or contacts (Challenge tier requirement)

  • Be at least 18 years of age

  • Have the legal capacity to enter into binding contracts

  • Not be prohibited from receiving services under applicable laws

2.3 Subscription Types

Monthly Subscriptions: Billed on the subscription day every month

Annual Subscriptions: Billed on the subscription date every year

Trial Periods: Where offered, trial periods are subject to specific terms outlined in Section 4.

2.4 Account Information

You are responsible for:

  • Maintaining accurate business information

  • Providing valid payment methods

  • Updating contact information promptly

  • Ensuring your email and phone number are current

3. PAYMENTS, FEES, AND BILLING

3.1 Fees Structure

Activation Fees: One-time fees charged upon enrollment in certain service tiers (non-refundable)

Monthly Subscription Fees: Recurring fees billed monthly based on your service tier

Usage Fees: Additional charges for:

  • Email sends beyond included limits

  • SMS messages beyond included limits

  • Phone call usage

  • Premium features or add-ons

  • Additional contacts or users

Third-Party Tool Fees: For select tiers (AI Books, Full-Service), you are responsible for:

  • HeyReach subscription ($79/month)

  • LinkedIn Sales Navigator subscription (~$120/month)

  • Any other third-party tools required for your service tier

3.1 Fees Structure

All fees will be billed to the credit card, debit card, or payment method on file. You authorize Catering Funnels to charge your payment method for:

  • All activation fees

  • All recurring subscription fees

  • All usage fees

  • All fees associated with failed payment attempts

  • Any other fees incurred under your account

3.3 Payment Authorization

  • Represent that you are authorized to use the payment method

  • Authorize us to charge all fees to that payment method

  • Authorize us to update payment information as provided by financial institutions

  • Agree to pay all fees when due

3.4 Failed Payments

If any payment fails:

  • Your access to the Platform may be suspended immediately

  • You remain responsible for all unpaid fees

  • Late fees may apply (up to 1.5% per month or the maximum allowed by law)

  • We may use collection services to recover unpaid amounts

  • You are responsible for all collection costs, including attorney fees

3.5 Price Changes

Catering Funnels reserves the right to change pricing at any time. For existing customers:

  • Founder/Lifetime Rate Locks: Customers with founder rates or lifetime rate locks will maintain their locked pricing for the specified service tier only

  • Standard Subscriptions: We will provide 30 days' notice of price increases

  • Continued use after price change constitutes acceptance of new pricing.

3.6 Taxes:

All fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.). You are responsible for all taxes associated with your use of the Services.

4. TRIAL PERIODS AND CONDITIONAL GUARANTEES

4.1 Trial With Penalty Structure

Certain service tiers (Challenge, AI Books) include a "Trial With Penalty" period:

If You Complete All Requirements:

  • Trial period remains free as specified

  • Standard billing begins after trial period ends

If You Do NOT Complete Requirements:

  • Free trial period is forfeited

  • Billing begins immediately

  • You remain responsible for all fees

4.2 Go-Live Requirements

For services with trial periods, the trial clock does not start until "Go-Live" is achieved. Go-Live requires:

Technical Setup:

  • Snapshot fully installed and configured

  • Custom domain connected and verified

  • Email authentication complete (SPF, DKIM, DMARC records)

  • A2P (Application-to-Person) SMS registration approved

  • SMS phone number active and verified

  • Chat widget installed on website

  • Social media accounts connected (GMB, Facebook, Instagram)

  • Custom values and business information populated

Client Requirements:

  • Import of minimum 300 contacts (where applicable)

  • Completion of all custom fields

  • Attendance at all required onboarding calls

  • Approval of all assets and campaign materials

  • Execution of Go-Live Acceptance Agreement

Catering Funnels reserves the right to determine when Go-Live requirements are met. The trial period begins only after written Go-Live confirmation.

4.3 Keep-It-Free Checklist

To maintain free trial benefits and remain eligible for service guarantees, you must:

  1. Attend all scheduled onboarding calls

  2. Complete all assigned action items within specified timeframes

  3. Provide accurate and complete information when requested

  4. Import required minimum contacts (≥300 for Challenge tier)

  5. Complete all custom fields and business information

  6. Review and approve all assets, templates, and campaign materials

  7. Launch all required campaigns (email, SMS) as directed

  8. Respond to customer inquiries within specified timeframes (typically 1 hour)

  9. Maintain active engagement throughout trial period

  10. Comply with Snapshot-Only requirement (no tampering or outside tools)

  11. Not cancel or request refunds during trial period

Failure to complete any item on the Keep-It-Free Checklist may result in:

  • Loss of free trial benefits

  • Immediate billing

  • Voiding of service guarantees

  • Account suspension or termination

4.4 Service Guarantees

Conditional Service Guarantees (not money-back guarantees):

14-Day Challenge Guarantee: "If you complete the Keep-It-Free Checklist and do not receive 10 qualified conversations within 14 days post-Go-Live, we will continue working at no additional charge until you do."

AI Books Milestone Guarantee: "If you complete the Keep-It-Free Checklist and your AI receptionist/booking system and LinkedIn outreach are not live within 14 days post-Go-Live, we will continue working at no additional charge until they are."

Important Guarantee Terms:

  • Guarantees are fulfillment obligations, not refunds

  • "Qualified conversations" are defined as legitimate catering inquiries from potential customers (not spam, solicitations, or unrelated inquiries)

  • Time is open-ended; outcome is fixed

  • We continue providing services until specified outcome is achieved

  • No monetary refunds are provided under these guarantees

  • Guarantees are void if Keep-It-Free Checklist is not completed

  • Guarantees are void if Snapshot-Only requirement is violated

  • Guarantees are void if account is canceled during trial period

  • Catering Funnels has sole discretion in determining what constitutes a "qualified conversation"

4.5 No Refund Policy for Trial Periods

Activation fees are non-refundable. Trial periods with conditional guarantees are designed to allow you to evaluate services with minimal risk. Once you begin using the Platform:

  • No refunds will be provided for activation fees

  • No refunds will be provided if you do not complete the Keep-It-Free Checklist

  • No refunds will be provided if you choose to cancel during or after trial period

  • Your remedy under our service guarantees is continued service, not monetary refund

5. REFUNDS AND CANCELLATIONS

5.1 General Refund Policy

ALL FEES ARE NON-REFUNDABLE EXCEPT AS REQUIRED BY LAW.

This includes, but is not limited to:

  • Activation fees

  • Monthly subscription fees

  • Usage charges (email, SMS, phone)

  • Annual subscription fees

  • Add-on fees

  • Third-party tool fees

5.2 No Partial Refunds

No refunds or credits will be provided for:

  • Partially used subscription periods

  • Unused features or services

  • Early cancellation

  • Dissatisfaction with results

  • Your decision not to use the Platform

  • Errors or omissions made by you or third parties

  • Excess fees incurred due to your actions

  • Failure to cancel within required timeframe

5.3 Discretionary Refunds

Except as required by law, Catering Funnels reserves the right to issue or deny a refund or credit in its sole and absolute discretion, at any time, for any reason. Our determination of if and when to issue or deny a refund or credit is final and not subject to appeal.

5.4 Responsibility for Cancellation

You are solely responsible for properly canceling your account and all associated services. Catering Funnels is not responsible for:

  • Fees incurred due to your failure to cancel

  • Continued billing after you intended to cancel

  • Services you signed up for but did not use

  • Renewal charges if you did not cancel within the required timeframe

5.5 Cancellation Requirements

Monthly Subscriptions: Must be canceled a minimum of 7 days prior to your renewal date to avoid charges for the next billing cycle.

Annual Subscriptions: Must be canceled a minimum of 30 days prior to your annual renewal date to avoid charges for the next annual period.

Cancellation Method:

  • Submit cancellation request via Platform support system

  • Email cancellation request to [email protected]

  • Contact 24/7 technical support

Cancellation is not effective until you receive written confirmation from Catering Funnels.

5.6 Post-Cancellation

Upon cancellation:

  • Your access to the Platform will terminate at the end of your current billing period

  • All data will be retained for 30 days, then permanently deleted

  • No refunds will be provided for time remaining in your billing period

  • You remain responsible for any outstanding fees

  • Third-party services (HeyReach, Sales Navigator) must be canceled separately

5.7 Mid-Cycle Cancellations

If you cancel mid-billing cycle:

  • You will retain access until the end of the current billing period

  • You will not be billed for subsequent periods

  • No pro-rated refunds will be provided for the current period

  • All fees for the current period remain due and payable

6. ACCOUNT TERMINATION AND SUSPENSION

6.1 Termination by Catering Funnels

Catering Funnels reserves the right to terminate or suspend your account and access to the Platform and Services immediately, with or without cause, and without prior notice, including but not limited to:

Grounds for Termination:

  • Violation of these Terms and Conditions

  • Violation of Snapshot-Only requirement

  • Failure to pay fees when due

  • Fraudulent or illegal activity

  • Abuse of Platform or Services

  • Violation of third-party terms (HeyReach, GoHighLevel, etc.)

  • Sending spam or violating CAN-SPAM Act

  • Violation of TCPA or SMS regulations

  • Misuse of AI features or automated systems

  • Generating excessive support requests

  • Abusive behavior toward staff or other users

  • Any activity that exposes Catering Funnels to liability

  • Any activity that damages our reputation or business relationships

  • Our reasonable determination that continued service is not in our best interest

6.2 Effect of Termination

Upon termination by Catering Funnels:

  • Your access to Platform and Services ceases immediately

  • All service guarantees are void

  • You remain responsible for all fees incurred prior to termination

  • No refunds will be provided

  • All data may be immediately deleted at our discretion

  • You may not create a new account without our written permission

6.3 Termination by You

You may terminate your account at any time by following the cancellation procedures in Section 5.5. Upon your termination:

  • You remain responsible for all fees incurred through the end of your current billing period

  • Access continues until the end of your current billing period

  • No refunds for current billing period

  • All data will be deleted 30 days after termination

6.4 Survival

The following sections survive termination:

  • Payment obligations

  • Ownership and intellectual property rights

  • Disclaimers and limitations of liability

  • Indemnification

  • Dispute resolution and arbitration

  • Any other provisions that by their nature should survive

7. ACCEPTABLE USE AND PROHIBITED CONDUCT

7.1 Lawful Use

You agree to use the Platform and Services only for lawful purposes and in accordance with these Terms. You agree not to use the Platform or Services:

  • In any way that violates federal, state, local, or international law

  • To send spam or unsolicited communications

  • To violate CAN-SPAM Act, TCPA, or other anti-spam regulations

  • To transmit malicious code, viruses, or harmful software

  • To impersonate any person or entity

  • To harvest or collect information about users

  • To interfere with or disrupt the Platform or servers

  • To attempt to gain unauthorized access to any systems

7.2 Email and SMS Compliance

You are solely responsible for compliance with all email and SMS regulations, including:

  • CAN-SPAM Act (email)

  • Telephone Consumer Protection Act (TCPA) (SMS)

  • Obtaining proper consent from recipients

  • Providing opt-out mechanisms

  • Honoring opt-out requests immediately

  • Not sending to purchased or scraped lists

  • Maintaining required records of consent

Violation of email or SMS regulations may result in:

  • Immediate account termination

  • Legal liability for you (not Catering Funnels)

  • Fines and penalties imposed on you

  • Loss of all fees paid

  • No refunds

7.3 LinkedIn Compliance

For services including LinkedIn outreach (AI Books, Full-Service):

  • You must comply with LinkedIn's Terms of Service

  • You must comply with HeyReach Terms of Service

  • You are responsible for all LinkedIn account restrictions or bans

  • Catering Funnels is not liable for LinkedIn account penalties

  • You must use your own LinkedIn Sales Navigator subscription

  • You may not use automation in violation of LinkedIn policies

7.4 Content Restrictions

You may not upload, post, or transmit through the Platform:

  • Illegal content

  • Spam or unsolicited commercial content

  • Sexually explicit or obscene content

  • Content that infringes intellectual property rights

  • False or misleading information

  • Malicious code or viruses

  • Content that violates privacy rights

  • Hate speech or discriminatory content

7.5 System Integrity

You agree not to:

  • Reverse engineer, decompile, or disassemble the Platform

  • Use automated systems to access the Platform (except as provided)

  • Remove copyright or proprietary notices

  • Frame or mirror any Platform content

  • Create derivative works based on the Platform

  • Use the Platform to build competitive products

  • Share login credentials with unauthorized parties

  • Resell or sublicense access to the Platform

8. DATA, OWNERSHIP, AND INTELLECTUAL PROPERTY

8.1 Your Data

"Your Data" means all content, information, materials, and data you upload, submit, or transmit through the Platform, including:

  • Customer contact information

  • Email and SMS campaign content

  • Business information and assets

  • Menu, pricing, and policy information

  • Images, logos, and branding materials

You retain ownership of Your Data.

8.2 License to Your Data

By uploading Your Data to the Platform, you grant Catering Funnels a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and transmit Your Data

  • Display Your Data as necessary to provide Services

  • Create backups of Your Data

  • Use Your Data to train and improve AI systems (anonymized)

  • Use Your Data for Service functionality (email sending, SMS, etc.)

This license terminates when you delete Your Data or terminate your account, except for:

  • Data retained in backups (deleted within 90 days)

  • Anonymized data used for AI training

  • Data required to be retained by law

8.3 Data Responsibility

You are solely responsible for:

  • Accuracy and legality of Your Data

  • Obtaining all necessary rights and permissions for Your Data

  • Compliance with privacy laws regarding Your Data

  • Maintaining your own backups of Your Data

  • Data loss due to your actions or inactions

Catering Funnels is not liable for:

  • Loss, corruption, or deletion of Your Data

  • Unauthorized access to Your Data due to your security failures

  • Your failure to maintain backups

  • Data breaches resulting from your negligence

8.4 Ownership of Platform

Catering Funnels and its licensors own all rights, title, and interest in:

  • The Platform and Services

  • All software, code, and technology

  • Catering Funnels branding and trademarks

  • Templates, snapshots, and pre-built assets

  • AI training models and algorithms

  • Documentation and training materials

  • All modifications and improvements to the above

You do not acquire any ownership rights in the Platform.

8.5 Trademarks

"Catering Funnels" and related marks are trademarks of [LEGAL ENTITY NAME]. You may not use our trademarks without prior written permission.

8.6 Feedback

If you provide feedback, suggestions, or ideas about the Platform:

  • We may use them without obligation to you

  • You grant us all rights to implement such feedback

  • We are not obligated to implement any feedback

  • No compensation is owed for feedback

9. LOGIN CREDENTIALS AND ACCOUNT SECURITY

9.1 Confidentiality

You are responsible for maintaining the confidentiality of your login credentials (username, password, API keys, etc.). You agree to:

  • Use strong, unique passwords

  • Not share login credentials with unauthorized parties

  • Take reasonable measures to protect credentials from unauthorized access

  • Immediately change credentials if compromise is suspected

9.2 Account Security

You are responsible for all activities that occur under your account, whether or not authorized by you. This includes:

  • All charges incurred

  • All campaigns sent

  • All contacts uploaded

  • All integrations connected

  • All content posted

You agree to:

  • Notify Catering Funnels immediately of any unauthorized access

  • Notify Catering Funnels immediately of any security breach

  • Cooperate with our investigation of security incidents

  • Not access other users' accounts

9.3 Credential Disabling

Catering Funnels reserves the right to disable your login credentials at any time in its sole discretion for any or no reason, including if we believe you have violated these Terms.

9.4 Non-Transferability

Accounts are non-transferable. You may not:

  • Transfer or assign your account to any other party

  • Sell or rent your account

  • Allow others to use your account

  • Share login credentials

Any attempted transfer is void and may result in account termination.

9.5 Preventative Measures

You are obligated to take preventative measures to prohibit unauthorized access, including:

  • Implementing strong password practices

  • Enabling two-factor authentication where available

  • Maintaining security of devices and networks

  • Monitoring account activity regularly

  • Promptly reporting suspicious activity

9.6 Sub-Accounts and Team Members

If your service tier includes multiple users or team members:

  • You are responsible for all activity by your team members

  • You must ensure team members comply with these Terms

  • You must manage team member access appropriately

  • You must remove access for former team members immediately

10. THIRD-PARTY SERVICES AND INTEGRATIONS

10.1 Third-Party Services

The Platform integrates with and requires certain third-party services:

  • GoHighLevel (underlying platform)

  • HeyReach (LinkedIn automation - select tiers)

  • LinkedIn Sales Navigator (select tiers)

  • Instantly (cold email - select tiers)

  • Google My Business

  • Facebook

  • Instagram

  • Email service providers

  • SMS providers

  • Payment processors

10.2 Third-Party Terms

You are subject to the terms of service of all third-party services you use in connection with the Platform. You agree to:

  • Comply with all third-party terms of service

  • Maintain any required third-party subscriptions

  • Not violate third-party acceptable use policies

  • Pay all fees owed to third parties

  • Accept that we are not liable for third-party service issues

10.3 Third-Party Fees

You are responsible for paying all fees charged by third-party services, including but not limited to:

  • HeyReach monthly subscription

  • LinkedIn Sales Navigator subscription

  • SMS message fees (through platform providers)

  • Email sending fees (beyond included limits)

  • Additional contact storage fees

  • Premium feature fees

10.4 Third-Party Changes

Third-party services may change their terms, pricing, or features at any time. Catering Funnels is not responsible for:

  • Third-party service changes

  • Third-party service interruptions

  • Third-party price increases

  • Third-party feature removals

  • Third-party account restrictions or bans

10.5 No Third-Party Warranties

Catering Funnels makes no warranty regarding:

  • Third-party service availability

  • Third-party service performance

  • Third-party service security

  • Third-party compliance with laws

  • Results obtained through third-party services

11. DISCLAIMERS AND WARRANTIES

11.1 "AS IS" and "AS AVAILABLE" Basis

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Catering Funnels expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability

  • Implied warranties of fitness for a particular purpose

  • Warranty of non-infringement

  • Warranty of uninterrupted service

  • Warranty of error-free operation

  • Warranty of security

  • Warranty of accuracy

11.2 No Guarantee of Results

WE MAKE NO WARRANTY THAT:

  • The Platform will meet your specific requirements

  • The Platform will generate any specific number of leads, conversations, or bookings

  • Your revenue will increase

  • You will achieve profitability

  • The Services will be uninterrupted, timely, secure, or error-free

  • Results obtained will be effective, accurate, or reliable

  • The quality of Services will meet your expectations

  • Any errors or defects will be corrected

The service guarantees described in Section 4 are limited to the specific commitments stated and do not expand these disclaimers.

11.3 No Data Loss Warranty

You agree that Catering Funnels has no responsibility or liability for:

  • Deletion or loss of any information or content

  • Failure to store any information or content

  • Corruption of data

  • Unauthorized access to data

  • Data breaches resulting from third-party vulnerabilities

11.4 Internet and Network Security

You acknowledge that:

  • The internet and telecommunications networks are inherently insecure

  • Data transmitted via internet or telecommunications networks may be intercepted, altered, or lost

  • Catering Funnels cannot guarantee security of data in transit

  • Catering Funnels is not liable for data compromise during transmission

11.5 Modifications and Discontinuance

Catering Funnels reserves the right to:

  • Modify or discontinue the Platform or Services at any time

  • Change features, pricing, or terms

  • Add or remove functionality

  • Discontinue support for integrations or third-party service

We shall not be liable to you or any third party for any such modifications or discontinuance.

11.6 Earnings and Results Disclaimer

FEDERAL TRADE COMMISSION (FTC) COMPLIANCE:

Any statements regarding potential results, earnings, or outcomes are:

  • Estimates based on our experience and analysis

  • Not guarantees of actual results

  • Subject to individual circumstances and effort

  • Not typical results

Your results will vary and depend on many factors, including:

  • Your business model and market

  • Your implementation of our recommendations

  • Your effort and resources invested

  • Market conditions and competition

  • Your existing customer base and reputation

  • Economic factors beyond our control

We make no guarantee or warranty that you will achieve any particular results, earnings, or level of success.

11.7 No Professional Advice

The Platform and Services do not constitute:

  • Legal advice

  • Financial advice

  • Accounting advice

  • Tax advice

  • Business consulting

You should consult appropriate professionals for advice specific to your situation.

12. LIMITATION OF LIABILITY

12.1 Maximum Liability

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATERING FUNNELS' TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM, SERVICES, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CATERING FUNNELS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12.2 Exclusion of Consequential Damages

  • Lost business opportunities

  • Lost data or information

  • Cost of substitute services

  • Loss of goodwill or reputation

  • Indirect damages

  • Incidental damages

  • Consequential damages

  • Exemplary damages

  • Punitive damages

  • Special damages

THIS EXCLUSION APPLIES EVEN IF CATERING FUNNELS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Basis of the Bargain

You acknowledge that:

  • Catering Funnels has set its prices and entered into these Terms in reliance upon the limitations of liability and disclaimers set forth herein

  • The limitations and exclusions of liability form an essential basis of the bargain between you and Catering Funnels

  • Without such limitations, Catering Funnels would not provide the Services at the current pricing

12.4 Applicability

These limitations of liability apply to all claims, whether based on:

  • Warranty

  • Contract

  • Tort (including negligence)

  • Strict liability

  • Any other legal theory

These limitations apply even if any remedy fails of its essential purpose.

12.5 Your Sole Remedy

Your sole and exclusive remedy for dissatisfaction with the Platform or Services is to stop using the Platform and Services and terminate your account in accordance with Section 5.

12. LIMITATION OF LIABILITY

12.1 Maximum Liability

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATERING FUNNELS' TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM, SERVICES, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CATERING FUNNELS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12.2 Exclusion of Consequential Damages

14. DISPUTE RESOLUTION AND ARBITRATION

14.1 Informal Dispute Resolution

Before filing any claim or lawsuit, you agree to first contact Catering Funnels to attempt to resolve the dispute informally by sending written notice to:

Your notice must include:

  • Your name and contact information

  • Description of the dispute

We will attempt to resolve the dispute within 30 days of receiving your notice.

14.2 Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration rather than in court, except:

  • Claims for injunctive or equitable relief

  • Small claims court matters (if they remain in small claims court)

Arbitration Terms:

You shall not settle any claim without Catering Funnels' prior written consent.

  • Administered by the American Arbitration Association (AAA)

  • Conducted under AAA's Commercial Arbitration Rules

  • One arbitrator selected in accordance with AAA rules

14.3 Arbitration Costs

Each party shall bear its own costs of arbitration, including attorney fees, unless the arbitrator awards fees to the prevailing party as permitted by law.

14.4 No Class Actions

YOU AGREE THAT DISPUTES SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Neither you nor Catering Funnels may participate as a class member or representative in any class or representative proceeding. The arbitrator may not consolidate multiple parties' claims.

14.5 Waiver of Jury Trial

TO THE EXTENT ARBITRATION DOES NOT APPLY, YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING FROM OR RELATED TO THESE TERMS.

14.6 Opt-Out Right

You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to the address in Section 14.1 stating "I opt out of arbitration." If you opt out, disputes will be resolved in court.

15. GOVERNING LAW AND JURISDICTION

15.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of [STATE], United States of America, without regard to its conflict of law principles.

15.2 Jurisdiction and Venue

To the extent any dispute is not subject to arbitration (either by opt-out or exception), you agree that:

15.3 Compliance with Laws

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Catering Funnels regarding the Platform and Services and supersede all prior agreements and understandings.

16.2 Amendments

Catering Funnels may amend these Terms at any time by posting the amended Terms on the Platform. Amendments are effective immediately upon posting. Your continued use of the Platform after posting constitutes acceptance of the amended Terms.

Material changes will be communicated via:

  • Email to your registered email address

  • Notice on the Platform dashboard

  • Website announcement

16.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Catering Funnels' failure to enforce any right or provision shall not constitute a waiver of such right or provision.

16.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

  • Such provision shall be modified to the minimum extent necessary to make it valid and enforceable

  • If modification is not possible, such provision shall be severed

  • The remaining provisions shall continue in full force and effect

16.5 Force Majeure

Catering Funnels shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to:

  • Acts of God (natural disasters, pandemics, etc.)

  • War, terrorism, or civil unrest

  • Government actions or regulations

  • Internet service provider failures

  • Power outages

  • Labor disputes or strikes

  • Third-party service provider failures

  • Cyber attacks

16.6 Assignment

You may not assign or transfer these Terms or your account to any other party without Catering Funnels' prior written consent. Catering Funnels may assign these Terms or delegate any obligations without your consent.

16.7 Relationship of Parties

Nothing in these Terms creates any:

  • Acts of God (natural disasters, pandemics, etc.)

  • War, terrorism, or civil unrest

  • Government actions or regulations

  • Internet service provider failures

  • Power outages

  • Labor disputes or strikes

  • Third-party service provider failures

  • Cyber attacks

You and Catering Funnels are independent contractors.

16.8 No Third-Party Beneficiaries

These Terms are solely for the benefit of you and Catering Funnels and do not create any third-party beneficiary rights.

16.9 Notices

All notices to Catering Funnels shall be sent to:

Notices are effective:

  • For email: When sent to your email on file

  • For postal mail: Three (3) days after mailing

16.10 Export Controls

You agree to comply with all applicable export and import laws and regulations. You represent that you are not:

  • Located in a country subject to U.S. embargo

  • Listed on any U.S. government list of prohibited or restricted parties

16.11 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict between the English version and any translation, the English version shall prevail.

16.12 Electronic Communications

By using the Platform, you consent to receive electronic communications from Catering Funnels. These electronic communications may include:

  • Notices about your account

  • Transactional information

  • Service announcements

  • Marketing communications (if you opt in)

Electronic communications will be sent to your email address on file.

18. ACKNOWLEDGMENT AND ACCEPTANCE

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT:

  1. You have read and understood these Terms and Conditions

  2. You agree to be bound by these Terms and Conditions

  3. You have the authority to bind yourself or the entity you represent

  4. You understand the service guarantees are fulfillment obligations, not refunds

  5. You understand all fees are non-refundable except as required by law

  6. You accept the disclaimers and limitations of liability

  7. You agree to the arbitration and class action waiver provisions

  8. You consent to electronic communications

  9. You agree to comply with all applicable laws and regulations

  10. You acknowledge reading the Privacy Policy

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM OR SERVICES.

APPENDIX A: DEFINITIONS

"Account" means your registered account with Catering Funnels.

"Activation Fee" means the one-time fee charged upon enrollment in certain service tiers.

"AI Books" refers to the AI Books in 30 Days service tier.

"Challenge" refers to the 14-Day Catering Pipeline Challenge service tier.

"Fees" means all charges, including activation fees, subscription fees, and usage fees.

"Go-Live" means the point at which all technical setup and client requirements are met, allowing the trial period to begin.

"Keep-It-Free Checklist" means the list of requirements that must be completed to maintain trial benefits and service guarantees.

"Platform" means the white-labeled GoHighLevel system and all related software, features, and integrations provided by Catering Funnels.

"Qualified Conversation" means a legitimate catering inquiry from a potential customer, as determined by Catering Funnels in its sole discretion.

"Services" means all services provided by Catering Funnels, including but not limited to the Platform, setup, training, and support.

"Snapshot" means the complete, integrated system configuration required for use with Catering Funnels services.

"Trial With Penalty" means a trial period structure where the trial remains free if requirements are completed, but billing begins immediately if requirements are not completed.

"Your Data" means all content, information, and materials you upload or transmit through the Platform.
